Welcome to MOG Media Inc’s SERPERE website (the “Site”), a platform offering a software as a service (SaaS) for search engine optimization (SEO) software, called SERPERE. These terms and conditions (“Terms”) govern your access to and use of the Site, the SERPERE software, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Account Creation and Access You must be at least 18 years old to use the Service. You are responsible for providing accurate and complete registration information and maintaining the confidentiality of your login credentials. You may not share your login credentials with any third party, and you are solely responsible for any activity that occurs under your account.
2. Fees and Payment You agree to pay all fees associated with the Service as set forth on the Site. All fees are non-refundable. MOG Media Inc reserves the right to modify the fees for the Service at any time upon notice to you.
3. Proprietary Rights The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content (as defined below) (the “MOG Media Inc Content”), are the property of MOG Media Inc or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. MOG Media Inc hereby grants you a limited, non-exclusive, non-transferable, license to access and use the Service solely for your personal and non-commercial use. Except as expressly authorized by MOG Media Inc, you may not copy, modify, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, or sell any MOG Media Inc Content or the Service.
4. User Content “User Content” means any and all information and content that a user submits to the Service. You are solely responsible for your User Content. 5. Use Restrictions You may not use the Service to violate any applicable laws, rules, or regulations, or for any unlawful or unauthorized purpose. Disclaimer of Warranties THE SERVICE IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR OTHER VIOLATIONS OF RIGHTS. MOG MEDIA INC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED. YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
8. Limitation of Liability IN NO EVENT SHALL MOG MEDIA INC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF MOG MEDIA INC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.
9. Indemnification You agree to indemnify, defend, and hold harmless MOG Media Inc, its affiliates, officers, directors, employees, agents, suppliers, and licensors from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
10. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to its conflicts of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.
11. Miscellaneous These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and MOG Media Inc with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and MOG Media Inc. MOG Media Inc’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. You may not assign these Terms or any of your rights or obligations hereunder, whether by operation of law or otherwise, without MOG Media Inc’s prior written consent, and any attempted assignment without such consent shall be null and void. MOG Media Inc may assign these Terms or any of its rights or obligations hereunder without your prior written consent.

Changes to the Terms and Service MOG Media Inc reserves the right, in its sole discretion, to modify or replace these Terms, or to change, suspend, or discontinue the Service (including without limitation, the availability of any feature, database, or content) at any time by posting a notice on the website or by sending you an email. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
13. Termination MOG Media Inc may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate these Terms, you may discontinue using the Service. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
